These Terms of Service (“Terms”) constitute a binding agreement between you (“you,” “Customer,” or “User”) and Campus Chalet, Inc., a Tennessee corporation doing business as Campus Chalet Embroidery (“Campus Chalet,” “we,” “us,” or “our”), with its principal place of business at 2514 Old Lewis Rd, Johnson City, TN 37601. These Terms govern your use of the website located at campuschalet.com, the customer ordering forms, the internal operations and work order portal, and any related services, integrations, or software we provide (collectively, the “Services”).
By accessing the Services, placing an order, creating an account, or clicking a button to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Services.
1. Who we are and what we do
Campus Chalet is a family-owned contract manufacturer specializing in custom embroidery, contract embroidery, manufactured patches (embroidered, woven, PVC, and chenille), engraving, and screen printing for commercial, public-safety, military, scholastic, and retail customers. The Services let you request quotes, submit artwork and order specifications, communicate with our production team, and — for authorized staff — manage work orders and generate invoices.
2. Eligibility and accounts
The Services are intended for business customers and authorized Campus Chalet personnel. You must be at least 18 years old and authorized to bind your organization. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at customerservice@campuschalet.com if you suspect unauthorized access.
3. Orders, quotes, and pricing
- Quotes are estimates based on the specifications, artwork, and quantities you provide and remain valid for thirty (30) days unless stated otherwise.
- An order is accepted only when Campus Chalet issues a written confirmation or work order. We reserve the right to decline or cancel any order, including for artwork we believe infringes a third party's rights.
- Production lead times begin after we receive (a) approved artwork or a signed digital proof, (b) all required materials or garments, and (c) any required deposit.
- Industry-standard over/under run tolerance of plus or minus 3% per line item applies and is billed at the per-unit price.
- Prices exclude applicable taxes and shipping. Title and risk of loss for shipped goods pass to you upon our delivery to the carrier (FOB Johnson City, TN).
4. Artwork, intellectual property, and customer-supplied goods
You represent and warrant that any logo, image, mark, slogan, name, photograph, or other material you submit (“Customer Content”) is owned by you or properly licensed, and that our use of it to produce your order will not infringe any third party's copyright, trademark, right of publicity, or other right. You grant Campus Chalet a non-exclusive, royalty-free license to reproduce, digitize, modify, and embroider or print the Customer Content solely to fulfill your orders and to maintain reasonable production records.
Digitized embroidery files, screens, dies, molds, and other production tooling we create remain the property of Campus Chalet unless you have separately purchased them in writing. Customer-supplied garments and materials are accepted at your sole risk; our liability for loss or damage to customer-supplied goods is limited as set forth in Section 11.
5. Proofs, approvals, and changes
Where a proof is provided, production does not begin until you approve it. You are responsible for reviewing proofs for spelling, color, layout, placement, and sizing. Approved proofs supersede prior communications. Changes requested after approval may delay delivery and incur additional charges.
6. Payment terms
- New customers and custom orders may require a deposit or prepayment.
- Approved accounts are billed Net 30 unless otherwise agreed in writing.
- Past-due balances accrue interest at 1.5% per month (or the maximum allowed by law) and you agree to pay reasonable collection costs and attorneys' fees.
- Returned-check or failed-payment fees of $35 may apply.
- Sales tax is added where applicable; valid resale or exemption certificates must be on file before tax-exempt orders are accepted.
7. Returns, claims, and remakes
Because our products are custom-manufactured to your specifications, all sales are final and non-returnable. You must inspect shipments promptly and notify us in writing of any defect, shortage, or non-conformity within ten (10) days of receipt. Our sole obligation for confirmed manufacturing defects is, at our option, to remake the affected goods or to refund the price paid for those goods. Claims based on artwork, spelling, color, thread match, or placement that conform to your approved proof are not eligible for remake or refund.
8. Public-safety, military, and licensed insignia
For police, fire, EMS, military, collegiate, sports-league, or other restricted or licensed insignia, you represent that you are an authorized agency, licensee, or otherwise have written permission to produce the requested item. Campus Chalet may require documentation and may refuse any order where authorization cannot be verified.
9. Operations portal and QuickBooks Online integration
The internal portion of the Services (the “Portal”) is licensed only to authorized Campus Chalet employees, contractors, and approved customer-administrative users (such as account managers). When an authorized administrator connects the Portal to Intuit QuickBooks Online, the Portal exchanges data with Intuit on Campus Chalet's behalf to:
- look up and create customer records;
- create and send invoices that correspond to Campus Chalet work orders;
- record shipping carrier, tracking number, and shipping charges on those invoices; and
- store OAuth tokens necessary to maintain the connection.
Use of QuickBooks Online is also governed by Intuit's own terms and privacy policy. Campus Chalet does not receive your QuickBooks password and may disconnect the integration at any time. You may revoke access at any time from your Intuit account or by contacting us. We use Intuit data only to perform the functions you have authorized in the Portal and do not sell QuickBooks data to third parties.
10. License to use the Services (EULA)
Subject to your compliance with these Terms, Campus Chalet grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business use to place orders with, or perform work for, Campus Chalet. You will not: (a) reverse engineer, decompile, or attempt to derive source code from the Services; (b) copy, modify, or create derivative works of the Services; (c) resell, rent, lease, or provide the Services to any third party; (d) use the Services to build a competing product; (e) interfere with or disrupt the integrity or performance of the Services; (f) upload malware, scrape data without authorization, or circumvent any access controls; or (g) use the Services in violation of any law, regulation, or third-party right.
11. Warranty disclaimer and limitation of liability
The Services and all goods are provided “as is” and “as available.” To the maximum extent permitted by law, Campus Chalet disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by law, Campus Chalet's total cumulative liability arising out of or relating to these Terms, the Services, or any order — whether in contract, tort, warranty, or otherwise — will not exceed the greater of (a) the amounts you paid Campus Chalet for the specific order giving rise to the claim during the six (6) months preceding the event, or (b) one thousand U.S. dollars (US $1,000). In no event will Campus Chalet be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility.
12. Indemnification
You will defend, indemnify, and hold harmless Campus Chalet and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) Customer Content or artwork you submit, (b) your violation of these Terms or any law, or (c) your infringement of any third-party intellectual property or other right.
13. Force majeure
Campus Chalet is not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, fire, flood, severe weather, labor disputes, supply chain disruption, carrier delays, utility or telecommunications outages, cyberattack, or governmental action.
14. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected misuse, non-payment, or inactivity. Sections that by their nature should survive — including payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. The exclusive venue for any dispute will be the state or federal courts located in Washington County, Tennessee, and you consent to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
16. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above indicates when the latest revisions took effect. Continued use of the Services after a change constitutes acceptance of the revised Terms.
